Jscales provides managed e-commerce operations as a service. This is a profit-sharing service relationship — not a partnership, joint venture, investment product, or employment arrangement. We operate your store on your behalf; you retain 100% equity and ownership of your marketplace accounts and funds at all times.
You are the sole owner of your marketplace store(s) and retain 100% equity at all times. Gross sales revenue is paid into your own account via the platform's standard payout system; Jscales does not hold, manage, or have access to your marketplace payouts. Jscales invoices you monthly for its agreed share. You are responsible for funding inventory purchases (COGS), platform fees, and any operational costs.
There is no payment due until your store makes its first sale. A one-time setup fee of £150 — covering account setup, infrastructure, software, and onboarding — is collected only after your store's first sale. On an ongoing basis, Jscales operates on a profit-sharing model together with a modest monthly management fee. The exact profit share arrangement and management fee are agreed in writing between both parties before any work begins. You remain responsible for funding inventory (COGS) and operational costs. All fee structures are transparent and documented.
Clients who refer new clients to Jscales are eligible for reductions in their monthly management fee. The more referrals you make, the greater the reduction — up to and including a complete removal of the management fee. Referral terms are outlined separately and may be updated from time to time.
You are solely responsible for your own tax reporting, declarations, and compliance with all applicable tax laws in your jurisdiction. Jscales does not provide tax advice, accounting services, or financial planning. We can recommend third-party accountancy contacts who work with e-commerce businesses — engagement with them is entirely at your discretion.
E-commerce involves inherent risk. We do not guarantee sales, profits, or specific financial outcomes. Results depend on market conditions, niche selection, platform policies, seasonality, and other factors beyond our control. Past performance does not guarantee future results.
Marketplace platforms may impose account restrictions, suspensions, payout holds, or policy changes at any time. While we apply experience and best practices to minimise risk, it cannot be eliminated. Jscales is not liable for actions taken by third-party platforms.
While we handle day-to-day operations, regular communication is expected and necessary. You may be asked to approve decisions, provide information, or respond to updates. A responsive communication relationship is essential for effective store management.
There are no long-term contracts. Either party may end the service relationship with written notice. You are free to leave at any time — there is no obligation to continue. Upon termination, your store and all associated data remain yours.
Jscales' liability is limited to the value of fees paid. We are not liable for lost profits, lost revenue, marketplace actions, platform outages, supply chain issues, or any indirect or consequential losses.
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
